FLORIDA REQUIREMENTS & AUTHORITIES
A clearer path for your application.
Florida nonprofit incorporation and federal tax-exempt recognition are separate steps. Sunbiz establishes the Florida corporation; the IRS considers recognition under Section 501(c)(3). Plan the organization’s charitable purpose and governing documents before filing.

YOUR QUESTIONS, ANSWERED
Before your consultation.
Does a Sunbiz filing give us 501(c)(3) status?+
No. Incorporation creates the Florida nonprofit corporation. Recognition of federal tax-exempt status is a separate IRS process. Sunbiz advises including the appropriate IRS-required language when seeking 501(c)(3) status.
Can every new nonprofit use Form 1023-EZ?+
No. Complete the eligibility worksheet in the current IRS instructions before choosing Form 1023-EZ. Organizations that are ineligible for that form use Form 1023; applications are filed electronically through Pay.gov.
Does IRS recognition cover Florida fundraising and sales tax?+
These require separate review. FDACS registration generally applies to solicitation in or from Florida, with exemptions. A Florida sales-tax exemption uses the Department of Revenue’s process, including Form DR-5 when applicable. IRS recognition alone does not complete those steps.
